1. Agreement and Application

1.    These Terms of Service (“Terms”) govern your access to and use of our website, ordering process and supply of goods by PURE DROPSHIP SVG (“we”, “us”, “our”).

2.    By placing an order with us or otherwise using our website, you confirm that you are a business client/reseller (not an individual consumer), that you have full power and authority to enter into these Terms on behalf of your business, and you agree to these Terms.

3.    These Terms, together with our Refund Policy, Shipping Policy and Privacy Policy, form the entire agreement between you and us in relation to your orders and supersede any prior correspondence or terms.

2. Eligibility and Customer Verification

1.    You represent and warrant that you are purchasing the goods for business purposes (resale) and not for personal domestic use.

2.    We reserve the right to verify your business information, conduct due diligence, credit checks or reject an order at our discretion if we reasonably believe you do not meet our customer eligibility criteria or if we suspect fraudulent or unlawful activity.

3. Order Placement, Acceptance, Pricing

1.    All orders are subject to acceptance by us. We reserve the right to refuse or cancel an order for any reason (including stock unavailability, pricing error or customer ineligibility).

2.    Prices displayed are in USD and are exclusive of shipping, import duties or taxes (unless otherwise stipulated). You are responsible for all local import VAT, customs duties or other charges in your country of import.

3.    A contract is formed when we issue you a confirmation of acceptance (order confirmation) after we have received full payment and verified your credentials.

4.    We may change our prices, shipping charges or policies without notice, but such changes will not affect orders already accepted.

4. Used/Second-Hand Goods

1.    You accept that the goods supplied are used or second-hand. We strive to supply high-quality items suitable for resale, but you acknowledge that used goods inherently carry greater risk of wear, prior usage, minor marks or age-related condition.

2.    It is your responsibility to inspect the goods upon receipt and ensure they meet your resale requirements. We do not provide the same warranties or conditions as for new goods, unless explicitly agreed in writing.

3.    You accept that minor cosmetic imperfections or signs of prior use do not constitute a defect unless the item is fundamentally non-functional or materially inconsistent with the description we provided.

5. Payment and Title

1.    Payment must be made in USD (or as otherwise agreed). We may require payment in full or part-payment in advance prior to shipment.

2.    Title to the goods passes to you once we have received full payment and the goods have been dispatched and received by you. Risk passes as set out in the Shipping Policy.

6. Delivery, Risk, Inspection

1.    Delivery times are estimates only. We shall not be liable for delays caused by customs, carrier issues, force majeure or other causes beyond our control.

2.    You must inspect the goods immediately on receipt and notify us of any damage, shortage or non-conformity within the timeframe stipulated in our Refund Policy (generally within 3 business days of receipt). Failure to notify us within that timeframe will constitute your acceptance of the goods.

3.    After that timeframe, you accept the goods.

7. Returns and Refunds

Returns and refunds are governed by our Refund Policy (see separate document). By placing an order you accept that many used/second-hand goods are non-returnable except for major defects or wrong items.

8. Limitation of Liability

1.    To the maximum extent permitted by applicable law, our aggregate liability to you under or in connection with any order or these Terms shall not exceed the total amount you paid us for the goods in that order.

2.    We shall not be liable for any indirect, special, incidental or consequential losses (including loss of profits, business interruption, loss of goodwill) even if we have been advised of the possibility of such losses.

3.    Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited by applicable law.

9. Intellectual Property

1.    All intellectual property rights (including trademarks, logos, website content, designs) in the website and materials are owned by us or our licensors.

2.    You may access and use our website for your internal business purposes only. You may not reproduce, distribute, modify or create derivative works of our materials, or use our trademarks without our prior written consent.

10. Prohibited Use

You agree not to:

·       Use our website or services for any unlawful or fraudulent purpose;

·       Misrepresent your identity or business;

·       Interfere with or disrupt our website or systems;

·       Export, re-export or transfer goods in violation of applicable export control laws;

·       Use the goods for any illegal purpose or supply them to persons for illegal use.

11. Compliance with Law

You must comply with all applicable laws, regulations and import/export requirements in your country (UK, EU or otherwise), including customs, duties, VAT, reseller licensing, and resale rules for used/second-hand goods. We make no representation that the goods meet local regulatory requirements in your country; you are responsible for verifying compliance.

12. Termination

We may terminate or suspend your account or access to our services at any time (without liability) if you breach these Terms, if we suspect fraud, insolvency, or if you become subject to a relevant bankruptcy or business winding-up proceeding.

13. Amendments

We may amend these Terms from time to time (for example due to changes in law, business model or processes). We will post the revised Terms on our website and indicate the date of last update. Your continued placing of orders constitutes your acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms, including non-contractual disputes, shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE (or such other forum as we may designate).
